POSITION SUMMARY

The Deputy General Counsel will serve as a key member of JBG SMITH's Legal Department and provide strategic counsel to senior leadership across a broad range of corporate, transactional, and regulatory matters. Reporting to the Chief Legal Officer, the role will collaborate with a team of attorneys and legal professionals, manage outside counsel relationships, and serve as a trusted advisor to the C-suite on complex legal and business issues.



WHAT YOU'LL DO

Real Property Acquisition, Disposition and Joint Ventures; Legacy Fund Winddown

    Oversee and negotiate all documentation related to, and advise and supervise diverse internal and external participants in connection with, all aspects of real estate acquisitions, dispositions, financings, and joint ventures across multifamily, office, retail, and land assets, including drafting and negotiation of letters of intent, purchase and sale agreements, joint venture agreements, and related documentation.
  • Oversee and manage outside counsel in connection with all transactional matters, including fee structure negotiation, workflow coordination and adherence to budget guidelines and efficiency standards.
  • Provide strategic input on, and partner with internal business, tax and accounting teams to formulate, implement, and revise, entity and deal structures in connection with external and intracompany transactions.
  • Partner with internal and external legal professionals with respect to organization, qualification, annual reporting and dissolution of Company's constituent entities.
  • Lead winddown efforts with respect to legacy opportunity funds organized by the former JBG Companies, including managing and documenting ongoing investor transfer requests in connection therewith.
  • Advise affordable housing fund business and lead any future fund formation efforts.

Team Leadership and Operations

  • Serve as manager and mentor to junior legal team members, fostering a culture of excellence, accountability and collaboration.
  • Oversee departmental budgeting, outside counsel management and development, implementation and refinement of operational protocols.
  • Serve as the Legal team liaison with development, construction, asset management, investment, accounting and tax teams to ensure efficient, risk-mitigated business execution and effective communication across functions.

Litigation and Risk Management

  • Assist in-house Risk Management Counsel, as requested, with litigation, dispute resolution, and insurance-related matters.
  • Coordinate with internal stakeholders and outside counsel as needed to ensure efficient and effective handling of claims and disputes.


WHAT YOU'LL NEED TO SUCCEED (REQUIREMENTS)

  • Juris Doctor (J.D.) from an accredited law school; member in good standing of a U.S. state bar.
  • 10+ years of relevant experience in real estate transactions, ideally with a combination of top law firm and in-house company experience.
  • Exceptional organizational, interpersonal, communication, and collaboration skills suited to a complex, team-driven organization. The successful candidate will possess a high level of integrity, discretion, and commitment to professional excellence.
  • Proven ability to exercise sound judgment and provide practical, business-oriented legal advice in a fast-paced environment.
  • Proven leadership ability with experience managing attorneys and outside counsel.
  • Experience with public company governance and reporting, securities compliance, and REIT operations is preferred but not required. Candidates must demonstrate the capacity and desire to learn public company and securities-related matters and apply existing legal and analytical skills to those areas.

The compensation range for this position is $350,000 to $500,000 annually. Please note that the compensation range information provided is a general guideline. It is uncommon for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on a variety of factors.
