Manager, Commercial Contracts supporting AP1000 new plant, Advanced Reactor (AP300) and Energy Storage product lines within Energy Systems BU. Develop and negotiate Technology Feasibility Duty agreements (TFS) , MOUs, teaming agreements, NDAs, FEED contract, support negotiations of major EP-EPC AP1000, SMR and Energy Storage contracts.

This includes establishment of, but is not limited to, Terms and Conditions (working with WEC Legal and outside counsel), costing, pricing, financing, insurance, warranty, consortium and prime sub-models, global contract development. Support preparation of governance materials for offers. Support Operation Teams from a commercial-contractual standpoint during execution of TFS, FEED, etc. Work with Tendering and Operations Project Directors and Vice President of Commercial Contracts. Travel to global customer offices and project sites for contract negotiations as needed. Work effectively in a global matrix.

Duties and Responsibilities (in the order of priority):

Develop and effectively negotiate Technology Feasibility Duty agreements (TFS) , MOUs, teaming agreements, NDAs, FEED contract, support negotiations of major AP1000 and SMR contracts. Support contract execution. Ensure alignment with WEC Legal and other WEC organizations, such as supply chain, for terms and conditions flow downs. This role also includes having a full understanding of contractual terms and conducting negotiations with partner (as the case may be) and customers for such contracts.

Develop, negotiate above agreements that support execution of the prime agreements. Support associated internal governance review process (LOA).

Engage with and support Supply Chain and other internal functional teams as needed in the development of flow down terms to suppliers for agreements.

Evaluate competitive tender commercial requirements and prepare a compliance matrix. Support the Offer Development process to ensure offer meets all of the contract requirements of WEC using contract compliance matrix tools. Provide critical commercial inputs to the LOA materials including completion of the CRET form.

Draft executive management briefing materials for communication of updates/status of negotiations, agreements, etc.

Maintain effective internal, partner and customer relationships through effective and productive communications as required.

Education and Qualifications / Skills and Competencies: Demonstrated experience in nuclear commercial contract development and negotiation. Technical and commercial project management skills. Knowledge of the power industry contracts associated with engineering, operation, maintenance, construction, and supply chain. Experience with project management, contractual negotiations. and possibly related financial management tools. Broad knowledge of nuclear products and all related engineering disciplines is a plus. Interpersonal, persuasive and negotiations skills. Thorough understanding of contract terms, ability to react to constantly changing situations and develop approaches to respond to situations in a manner favorable to WEC. Must have strong communication and overall commercial contract skills and knowledge.

Education Level

Degree in Engineering, Legal, Business or related discipline required; Experience in terms and conditions for EPC contracts is required. Experience in Nuclear is a plus. JD degree coupled with business experience and/or engineering degreed preferred.

Years of Experience

Minimum of 10 years of global commercial and contract development experience in progressively more responsible and varied assignments.

Skills and Competencies: Contract development for engineering, procurement and construction. Business model development. Terms and conditions development working with Legal. Financial acumen. Negotiation. International/cultural sensitivities. Communications (oral and written). Able to lead by influence. Risk management.
