Position Description

A business-oriented, flexible professional with the experience and capability to support critical compliance, ethics, and related investigation and litigation matters within a "B to B" global diversified manufacturing business. The role will work with global businesses and support functions and requires solid judgment, attention to detail, and excellent interpersonal and communication skills.

Reporting to Modine's Sr. Compliance Counsel and working regularly with Modine's legal and internal audit personnel, the role will work with Modine's global businesses in managing and mitigating risk related to compliance laws and regulations. This role will also provide general support in connection with the Modine Compliance & Ethics Program and will support the legal and internal audit departments in conducting ethics and compliance control procedures, preparing reports, and managing investigations, claims and litigation matters.

Key Responsibilities
  • Helpline Management & Data Analytics: Work collaboratively to review, assign and manage investigation and resolution of reports to the Modine Ethics Helpline and to generate accurate and complete reports as requested. As assigned, investigate Helpline reports alleging violations of the Modine Code of Conduct (the "Code").
  • Compliance Program Training, Awareness and Communications Assistance: Along with the Compliance team, work to develop and facilitate appropriate training for specific groups or functional areas and generate reference materials or other communication materials necessary to ensure awareness of and compliance with Modine's Code, programs, policies or standard practices. Monitor and assess additional training needs.
  • Policy Management: Lead the process of maintaining and updating, as necessary, Modine's Code, global policies, and other compliance documents.
  • Third Party Monitoring & Screening: Lead management and administration of Modine's third party screening process and support Modine's anti-corruption and sanctions due diligence and monitoring of new and existing business partners.
  • Conflict of Interest: Work collaboratively with Legal, HR, and the business to review and mitigate conflicts of interest.
  • General Compliance Program and Claims/Litigation Support:
    • Attend meetings and interviews, as necessary, to help advance compliance programs, investigations, claims and litigation matters. Take notes of meetings and, as necessary, summarize meetings and direct next steps or recommendations to Modine's compliance and legal professionals.
    • Establish and maintain compliance training, litigation and claim calendars.
    • Organize investigation, claim and litigation files.
    • Manage physical and electronic document collection and production processes, including redactions as necessary.
    • Manage contracts with compliance service providers, outside firm and consultant invoices, and assist with payment approvals through accounts payable.
    • Draft correspondence and other materials as requested, respond to written and verbal inquiries, questionnaires, and discovery requests.
    • Type, prepare and proofread required regulatory/compliance submissions, and legal and other documents.
Required Education & Qualifications
  • At least fifteen (15) years of related compliance program and investigation, claim or litigation management experience, with at least seven (7) years of in-house experience.
  • Strong administrative, project management and time management skills.
  • Ability to work collaboratively and effectively across the organization and with third parties.
  • Excellent written skills, including proofreading, and verbal communication skills.
  • Excellent organizational skills and detail oriented and adept at managing multiple tasks simultaneously.
  • Ability to work under pressure and meet deadlines.
  • Flexibility to work in a fast-paced, growing and occasionally unstructured work environment.
  • Must be a self-starter who takes initiative.
  • Unwavering commitment to ensuring confidentiality in all aspects of the role.
  • Proficient in Microsoft Office Suite (i.e. Word, Excel, PowerPoint and Outlook) with the ability to learn new or updated software.
  • Systematic knowledge of databases and tracking systems, as well as familiarity with legal billing software.
  • Proficient in Document and Email Management software a plus.
  • Position may be remote, but some travel will be required (see below). If remote, prefer U.S. based candidates who are located in ET or CT time zone.
  • Travel as necessary for job execution, including to meet with senior management and/or compliance and legal personnel at Modine locations worldwide.
  • If remote, estimated that travel to Modine headquarters in Wisconsin will be required a few times per year. Estimated that other travel related to investigations, litigation, or compliance management will be required 5% of the time.
