Senior Director, US Corporate and AWM Commercial

Life Unlimited. At Smith+Nephew we design and manufacture technology that takes the limits off living. This Strategic business partner to Global AWM and US AWM Leadership Teams will identify and manage legal risk to support commercial transactions and growth. Other priorities to include:

  • Lead on US corporate governance, management and records and implementation of training programmes as appropriate.
  • Support on US aspects of corporate transactions, including acquisitions, disposals and reorganisations as the need arises;
  • Identify, handle and mitigate legal risk and opportunities on strategic projects including without limitation development agreements, market access and reimbursement matters and go to market models/channel management;
  • Leading US AWM Commercial legal risk management and workload allocation, ensuring optimal use of internal and external resource for routine/operational matters;
  • Ensure that S+N in-house approved legal/risk positions are implemented consistently throughout all areas of responsibility, together with consistent use of collaterals, templates, technologies and platforms to ensure best in class commercial execution and customer centricity;
  • Support on US investigations and commercial litigation as the need arises;
  • Support on the programmatic development of US Commercial and other training programmes both within the Legal team and within the business more broadly;
  • Provide additional legal support on strategic projects and initiatives as the need arises by Group General Counsel and Company Secretary.
  • Strategic business partner to AWM Global Leadership Team and US AWM Commercial teams to identify and manage legal risk to support transactions and growth;
  • Lead on US corporate governance, management and records and implementation of training programmes, liaising with GHO Company Secretariat as appropriate;
  • Support on US aspects of corporate transactions, including acquisitions, disposals and reorganisations as required;
  • Identify, lead and mitigate legal risk and opportunities on strategic projects including without limitation development agreements, market access and reimbursement matters and go to market models/channel management;
  • Leading US AWM Commercial legal risk management and workload allocation, ensuring optimal use of internal and external resource for routine/operational matters;
  • Ensure that S+N in-house approved legal/risk positions are implemented consistently throughout all areas of responsibility, together with consistent use of collaterals, templates, technologies and platforms to ensure best in class commercial execution and customer centricity;
  • Support on US investigations and commercial litigation as required;
  • Support on the programmatic development of US Commercial and other training programmes both within the Legal team and within the business more broadly;
  • Managing fees and budget for external counsel and ensuring appropriate deployment of internal and external legal resource;
  • Assist with management, legal operations and administrative functions as assigned, including utilization of the TyMetrix system to track external legal resources and expenses;
  • Review and implementation of technologies, platforms and tools to support the delivery of in house legal services;
  • Provide additional legal support on strategic projects and initiatives as required by Group General Counsel and Company Secretary.

Qualifications:

  • Bachelor degree from a well-respected institution required as a minimum.
  • Qualified and admitted to practice as an attorney in the US
  • The role would suit someone with 12+ years experience.
  • Strong private practice or in house experience of advising on healthcare/pharma/medical devices laws and regulations required, with solid understanding of the Anti-Kickback Statute and the False Claims Act a prerequisite
  • Experience of successfully leading, retaining and developing a team of legal professionals required
  • Proficient in written and spoken English

  • Ability to establish global networks and work collaboratively with others, both within and outside of the Legal team, including senior management teams
  • Ability to communicate complex issues in concise terms
  • Self-motivated, results oriented, maturity to tackle and manage conflicts, resilient under pressure
  • Strong time management skills coupled with an ability to work within tight deadlines and manage both internal and external stakeholders at all levels of the organisation
  • Curious and innovative approach to the delivery of in house legal services and solutions
